One thing that I haven't seen mentioned: you don't want the acquirer to pay you until they've found a market and then build a clone. Some kind of noncompete may be desirable.

This may sound arrogant, but I don't think they could build a clone. Our stuff is pretty sophisticated and non-obvious.
